AFFILIATE AGREEMENT

This Agreement is entered into between

Equilibri-Yum Inc (the COMPANY)

and

the undersigned (the AFFILIATE).

The AFFILIATE wishes to market products and services of the COMPANY (hereafter PRODUCTS) and recieve commission for sales resulting from their marketing.

By entering into this agreement, either by mailing in written acknowledgment or by completing and submitting the online form, the AFFILIATE accepts the following terms:

Prohibited Websites

AFFILIATE websites marketing PRODUCTS cannot contain any of the following prohibited content:

• Hate, discrimination, or violence;

• Child pornography or bestiality;

• Unlawful activities;

• Promotion of spam, spyware, or viruses;

• Violation of intellectual rights;

• Multi-level marketing.

Spamming

AFFILIATE marketing done via e-mail, message boards, IM, or other online messaging system must not be interpretable as unsolicited, or 'spamming'.

Unacceptible Advertising Methods

The following forms of advertising are discouraged, and if determined excessive, or if a warning was sent to the AFFILIATE and was ignored, will be considered violation of this agreement. Discouraged advertising methods are:

• Pop-up advertisements;

• Pop-under advertisements;

• Advertisements on pages with no discernible content;

• Advertisements placed on sites which do not belong to the AFFILIATE.

The following forms of advertising are prohibited in all cases:

• Blind links (links which do not indicate their destination);

• Misleading links (links which appear to lead elsewhere);

• False claims;

• Ads showing incorrect pricing.

Termination

Either the COMPANY or the AFFILIATE may terminate this agreement at any time. If the AFFILIATE did not violate terms of this contract in any way, any unpaid commission balance will be paid at the time of account termination.

Any AFFILIATE found in violation of the above agreement terms will have their account terminated without warning or notice, and all earned and non-distributed funds will forefited.

Limited License

The AFFILIATE is allowed to use COMPANY-approved logos, text, and images to market PRODUCTS, or they may use graphics design software to create new images compiled from COMPANY-approved images or other public-domain images. Any violation of the copyright of a non-COMPANY entity is prohibited. Upon termination of this Agreement, the AFFILIATE must remove all licensed images and text from their websites.

Payment

Commission checks are distributed quarterly, unless other arrangements are accepted by the COMPANY. If the earned commissions does not exceed $25, the balance will be carried over into following quarters until the balance reaches $25 at the end of a quarter.
